We want to welcome another colleague to join our IP&I Company Secretariat team.

Job Description

  • JOB TITLE: Assistant Company Secretariat Manager
  • LOCATION: Edinburgh
  • SALARY: £42,120 - £46,800
  • HOURS: Full Time
  • WORKING PATTERN: Hybrid, 40% (or two days) in an office site.

We want to welcome another colleague to join our IP&I Company Secretariat team.

That person should have a passion for administration, be interested in corporate governance and decision-making, be more organised than most people and be comfortable engaging and challenging.

IP&I Company Secretariat enables decision-making by:

  • planning and delivering meetings of the Insurance legal entity Boards and executive committees.
  • maintaining governance frameworks that delegate authority from our Boards to management
  • maintaining the statutory registers of IP&I’s companies and
  • making notifications to Companies House.

Good writing skills are essential. Given our close working with senior leaders, it is important to be (or learn to be) comfortable engaging, challenging, listening and partnering.

Responsibilities include:

  • Board/Committee delivery – leading the forward planning, meeting logistics, agenda construction, maintaining action logs, collating and publishing board papers.
  • Writing - drafting board papers, minutes and written resolutions.
  • Partnering - Board/Committee meetings need effective partnering from other teams, and we all engage proactively and positively to deliver together.
  • Advising – on boardroom protocols and corporate governance.
  • Data mining and researching from the companies’ corporate records.
  • Notifying – mostly (but not exclusively) Companies House of changes to statutory registers and other things, and
  • Year-end – coordinating multiple demands including director disclosures and annual accounts review.

What we’ll need from you

  • Computer systems – much of our practice is delivered via systems, so learning how to operate them is an early priority. It helps to have skills in using MS Office applications and enthused to learn the new systems like Power BI and Co-Pilot to harness the opportunities they may bring.
  • Previous company secretarial experience will help you get up to speed quickly but is not crucial. We also welcome applications from adjacent roles, such as:
  • anyone who has partnered IP&I Company Secretariat, or
  • who has worked with a senior leader on their contribution to Boards/Committees, or
  • who has supported directors with regulatory accountabilities.
  • Qualifications – a company secretarial, legal or accounting qualification is helpful but not crucial.
  • Data management – must be in compliance with statutory and internal policy requirements (including in respect of confidentiality, archiving, and supporting data mining) to preserve corporate records
  • Mindset – as we lead multiple tasks simultaneously and independently, it helps to enjoy prioritising multiple demands, which needs an independent attitude and organisational skills. We value being able to champion process simplification. A growth mindset is a given.
